About the Opportunity

You will join Found as a critical partner to all key leaders and our range of external counsels, helping scale legal operations in a fast-paced, high-growth digital health environment.

In this role, you will be the operational backbone of Found's legal function, managing external counsel relationships and working with the CEO to liaise with them and triage the requests from the team, you will oversee contract lifecycle management, supporting corporate governance and board activities, and ensuring smooth legal operations across multiple business functions. You'll work closely with Finance, People Operations, Clinical Operations, Marketing, Product, and executive leadership to support Found's mission while navigating complex regulatory requirements including FDA, state pharmacy boards, and healthcare compliance.

What You'll Do (Job Responsibilities)

External Counsel & Legal Spend Management

  • Serve as primary point of contact for external counsel across multiple firms (cooperating directly with the CEO)
  • Review and approve legal invoices; analyze spend and cooperate with CEO on an intermittent basis
  • Coordinate legal meetings and route questions to appropriate counsel

Contract Management & Drafting

  • Draft and negotiate consulting agreements, separation agreements, vendor agreements, and partnership agreements
  • Review, issue-spot, and redline incoming contracts, flagging key risks
  • Manage contract templates (NDAs, MSAs, BAAs) and DocuSign execution process

Corporate Governance & Board Support

  • Coordinate board meetings and draft board resolutions for equity grants and material agreements
  • Maintain corporate records and bylaws
  • Work with Carta on stock plan administration and equity documentation

Legal Operations & Process Improvement

  • Triage and address legal inquiries across the organization, escalating when needed
  • Manage legal email inboxes and registered agent communications
  • Identify opportunities to streamline legal processes and implement tools (e.g., CLM system)
  • Provide paralegal support including litigation holds, document management, and tracking filing deadlines

Additional Responsibilities

  • Monitor FDA enforcement actions and regulatory updates for telehealth and compounded medications
  • Coordinate litigation matters and insurance claims with external counsel
  • Partner with People Ops on employment agreements and contractor arrangements
  • Collaborate cross-functionally with Finance, Clinical Operations, and IT/Security

What You'll Bring (Job Qualifications)

Required Experience

  • 5+ years in legal operations, contracts management, or as a practicing attorney, preferably in healthcare, digital health, or regulated startups
  • Strong contract drafting and negotiation skills (commercial agreements, MSAs, NDAs, BAAs)
  • Experience managing external counsel relationships and legal spend/budgets
  • Corporate governance knowledge (board resolutions, equity administration)
  • Healthcare/telemedicine regulatory familiarity (FDA, state pharmacy boards, HIPAA) strongly preferred
  • Ability to independently triage legal requests with sound judgment on when to escalate
  • Proficiency with Google Workspace, Slack, Notion, Carta, DocuSign, and contract management platforms
  • Paralegal certification preferred but not required
