Overview:
The Corporate Legal Counsel role will serve as a trusted advisor to our executive leadership, business teams, and store operations, providing practical, business-minded legal guidance across a wide range of areas. The ideal candidate will have a strong background in retail, grocery, and consumer-facing industries, with proven expertise in contracts, litigation management, regulatory compliance, employment law, and risk management.
Key Responsibilities
- Draft, review, and negotiate a broad range of agreements, including distribution, manufacturing, supply, service, sponsorship, data privacy/sharing, financing, purchase/sale, vendor, real estate leases, and partnership contracts.
- Manage litigation matters, working with external counsel as needed, including claims related to real estate, employment, customers, intellectual property, product liability, and class actions.
- Experience managing Prop. 65 claims.
- Advise on employment, privacy, consumer protection, food/grocery labeling and marketing laws, ensuring compliance in promotional campaigns, advertising, and customer engagement initiatives.
- Provide day-to-day legal guidance to executives, business leaders, and store teams, delivering practical, solution-oriented advice aligned with company goals.
- Support strategic projects and deals, providing legal analysis and risk assessment.
- Partner with departments such as Procurement, Operations, HR, Marketing, Finance, and Real Estate to anticipate legal risks, manage exposure, and proactively resolve issues.
- Interpret, draft, and administer guidance on retail and grocery-specific legislation, including food safety, labeling, and environmental regulations.
- Ensure company-wide compliance with applicable federal, state, and local laws and regulations.
- Oversee contract lifecycle management, ensuring adherence to policies, regulations, and best practices while monitoring commercial risk.
- Develop and implement legal strategies that support growth, protect company assets, and align with business objectives.
- Advise the CEO, executive leadership, and shareholders on legal and business issues.
- Oversee all litigation and claims, including employment defense, general liability, personal injury, intellectual property, and contractual disputes.
- Manage the company’s insurance programs, evaluate coverage, and support claims management for optimal protection and cost-effectiveness.
- Other duties as assigned.
Qualifications
- J.D. (or foreign equivalent) with active membership in the California State Bar.
- 10+ years of combined law firm and/or in-house legal experience, with significant exposure to food & beverage and/or grocery retail.
- Experience in procurement, human resources, real estate, data privacy, and litigation within the retail sector.
- Notary experience a plus!
- Strong ability to work independently and provide timely, actionable advice in a fast-paced environment.
- Exceptional interpersonal, negotiation, and communication skills (both oral and written).
- Strong analytical skills and ability to exercise sound judgment, even with incomplete information.
- Demonstrated ability to problem-solve with a business-friendly, solutions-oriented approach.
- Strategic thinker with strong commercial awareness and practical application of legal expertise.
- Excellent organizational skills, with the ability to prioritize, multitask, and meet deadlines.
